1. Introduction

These Terms and Conditions (“Terms”) govern all transactions, services, quotations, and agreements between MH (“Company,” “we,” “our,” or “us”) and any customer, buyer, seller, supplier, or partner (“Client”).

By engaging MH’s services, requesting a quotation, or placing an order, the Client agrees to be bound by these Terms.

2. Scope of Services

MH provides import and export services, including but not limited to:

  • International sourcing and procurement
  • Product trading and distribution
  • Freight coordination and logistics
  • Customs documentation support
  • Trade compliance assistance
  • Supplier coordination

Specific services will be defined in written quotations, contracts, invoices, or purchase orders.

3. Quotations and Orders

  • All quotations issued by MH are valid for 15 days unless otherwise stated in writing.
  • Orders become binding only after written confirmation by MH.
  • Prices are subject to adjustment prior to shipment due to changes in supplier pricing, freight rates, customs duties, exchange rates, or other external cost factors.

4. Pricing and Payment Terms

6. Customs and Regulatory Compliance

The Client is responsible for:

  • Providing accurate product specifications and documentation
  • Ensuring compliance with import/export laws in the destination country
  • Securing required permits, licenses, or certifications unless otherwise agreed

MH shall not be liable for penalties, fines, or shipment seizure resulting from incorrect or incomplete information provided by the Client.

7. Inspection and Claims

  • The Client must inspect goods immediately upon receipt.
  • Any claims regarding damage, shortage, or defects must be submitted in writing within 5 business days of delivery.
  • Claims must include supporting evidence (photographs, inspection reports, delivery documents).

Failure to submit timely notice constitutes acceptance of goods.

8. Limitation of Liability

  • MH’s total liability shall not exceed the invoice value of the specific goods or services giving rise to the claim.
  • MH shall not be liable for indirect, incidental, consequential, or special damages, including loss of profit or business interruption.

9. Force Majeure

MH shall not be liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to:

  • Natural disasters
  • War or civil unrest
  • Government restrictions
  • Strikes or labor disputes
  • Pandemics
  • Transportation disruptions

Obligations shall be suspended during such events.

10. Confidentiality

Both parties agree to maintain confidentiality of proprietary information, pricing structures, trade data, and any non-public business information exchanged during the course of business.

11. Termination

MH may suspend or terminate services if:

  • The Client breaches these Terms
  • Payment obligations are not fulfilled
  • Regulatory or legal risks arise

All outstanding amounts become immediately due upon termination.

12. Governing Law and Dispute Resolution
